OrderPilot is an order-management and back-office platform for e-commerce businesses. It imports orders from sales channels, routes purchasing to suppliers, manages shipping and inventory, and synchronizes business records with connected services (such as QuickBooks Online) on behalf of the business that operates each account.
Access to OrderPilot is provided to authorized businesses and their invited users. You agree to use the service only for the lawful operation of your own business, to keep your credentials confidential, and not to attempt to access data belonging to another account.
When you connect a third-party service (for example QuickBooks Online), you authorize OrderPilot to access that service on your behalf strictly to provide the features you use — such as creating accounting entries, bills, and payments that mirror your own business activity. You may disconnect a connected service at any time, which stops all further access.
Your business data remains yours, and we do not sell it (see our Privacy Policy). However, OrderPilot is an operational tool, not a bookkeeper, accountant, tax advisor, or system of record. You are solely responsible for reviewing, verifying, and reconciling all data, calculations, accounting entries, tax treatments, orders, purchases, and payments that the service produces or transmits — including anything written to a connected service such as QuickBooks — before relying on them. You are responsible for maintaining your own independent records and backups.
Nothing the service produces constitutes accounting, tax, legal, or financial advice. Accounting entries, fee calculations, cost figures, and reconciliations are automated estimates and conveniences that you must confirm with a qualified professional. You are responsible for the accuracy and legal compliance of your own books and filings.
The service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that any data, calculation, or integration will be correct or complete. Third-party services (marketplaces, carriers, suppliers, QuickBooks, and others) are outside our control and we are not responsible for their availability, changes, errors, or actions.
To the maximum extent permitted by law, OrderPilot, its operator, and its affiliates, officers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, orders, inventory, or business, arising out of or relating to the service — even if advised of the possibility. Without limiting the foregoing, this includes any losses arising from inaccurate, delayed, missing, or duplicated data, accounting entries, tax treatments, orders, purchases, payments, or integrations. In all cases, our total aggregate liability for any and all claims relating to the service shall not exceed the greater of (a) the total fees you paid to us for the service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Your sole and exclusive remedy for dissatisfaction is to stop using the service and disconnect your integrations.
You agree to indemnify, defend, and hold harmless OrderPilot and its operator from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the service, your data, your business operations, your connected accounts, your records and filings, or your violation of these terms or any applicable law.
We may suspend, restrict, or terminate access to the service, or any integration, at any time and for any reason, including suspected misuse, security risk, non-payment, or to comply with a third party's requirements, with or without notice. You may stop using the service at any time.
We may modify, add, or remove features, and we may update these terms, at any time. Continued use of the service after a change constitutes acceptance of the updated terms.
These terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the service or these terms shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction. To the extent permitted by law, any claim must be brought within one (1) year after it arises, and you waive any right to participate in a class or representative action.
These terms are the entire agreement between you and OrderPilot regarding the service and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be enforced to the maximum extent permitted.
